Terms of Use
Effective Date: September 12, 2026 Last Updated: September 12, 2026
Please read carefully
These Terms of Use (the "Terms") are a binding agreement between you and RSYNQ Corporation, a Delaware corporation ("RSYNQ," "we," "us," or "our"). They govern your access to and use of rsynq.com and related subdomains (the "Site"), the Semantic Intent Protocol platform, APIs, SDKs, documentation, dashboards, developer tools, and any software or services we make available (together with the Site, the "Services").
Section 12 disclaims warranties, Section 13 limits our liability, Section 14 requires you to indemnify us, and Section 18. Section 7 imposes safety obligations that are a material condition of your right to use the Services.
By accessing the Site, creating an account, or using the Services, you agree to these Terms. If you do not agree, do not use the Services.
1. Eligibility and Authority
You must be at least 18 years old and capable of forming a binding contract to use the Services. The Services are intended for business and professional use and are not directed to consumers or to children.
If you use the Services on behalf of a company, organization, or other entity, you represent that you have authority to bind that entity, and "you" refers to both you individually and that entity. If you lack that authority, you may not accept these Terms or use the Services.
2. Relationship to Other Agreements
If you have executed a written master services agreement, subscription agreement, evaluation agreement, OEM or runtime license agreement, or joint development agreement with RSYNQ covering the Services (a "Customer Agreement"), that Customer Agreement controls over these Terms to the extent of any conflict, and these Terms apply only to the extent they address matters the Customer Agreement does not.
The following are incorporated into these Terms by reference:
Our Privacy Policy
Any documentation, technical requirements, and service descriptions we publish for the Services
Any order form, quote, or plan description you accept
3. Accounts, Credentials, and API Keys
You must provide accurate, current, and complete information when creating an account and keep it updated. You are responsible for:
Maintaining the confidentiality of your account credentials, API keys, and access tokens
All activity that occurs under your account or through your API keys, whether or not authorized by you
Promptly notifying us at security@rsynq.ai of any suspected compromise or unauthorized use
You may not share credentials, transfer your account, permit access by anyone other than your authorized personnel, or use another party's account without permission. Where your account was provisioned by an organization, that organization's administrators may access, modify, suspend, or delete your account and the data in it.
We may suspend or terminate accounts that we reasonably believe are compromised, fraudulent, or in violation of these Terms.
4. The Services; Plans, Fees, and Payment
a. Plans. We offer the Services under tiered plans, which may include a free or developer tier, paid subscription tiers, usage-based consumption pricing, enterprise plans, and OEM or runtime licensing. The features, limits, and pricing applicable to each plan are described on the Site or in your order form.
b. Fees. You agree to pay all fees for the plan you select, including subscription fees, consumption-based charges, overages, and any professional services fees. Except as required by law or expressly stated, fees are non-refundable and payments are non-cancelable.
c. Usage measurement. Consumption-based fees are calculated using our measurement systems, which are the authoritative record absent manifest error. You are responsible for monitoring your own usage and for charges resulting from your configurations, integrations, and automated systems, including runaway or looped requests.
d. Taxes. Fees exclude taxes. You are responsible for all sales, use, VAT, GST, consumption, withholding, and similar taxes, excluding taxes based on our net income.
e. Payment and late amounts. You authorize us and our payment processor to charge your designated payment method for all amounts due. Undisputed amounts not paid when due may accrue interest at 1.5% per month or the maximum permitted by law, whichever is less, and we may suspend the Services after 10 days' notice of nonpayment.
f. Automatic renewal. Subscription plans renew automatically for successive periods equal to the prior term unless you cancel before the end of the then-current term. You may cancel at any time through your account settings or by emailing billing@rsynq.ai, and cancellation takes effect at the end of the current term. We will provide advance notice of renewal and of any price change where required by law.
g. Price changes. We may change pricing effective at the start of your next renewal term, with at least [30] days' prior notice.
h. Free, trial, and beta access. Free tier, trial, preview, and beta features are provided as-is, may be modified or discontinued at any time, may carry lower availability and support, and are excluded from any service level commitment. We may impose usage limits on free access.
5. License Grant and Restrictions
a. License to you. Subject to these Terms and payment of applicable fees, RSYNQ grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services, and to integrate the SIP APIs and SDKs into your applications and systems, solely for your internal business purposes during the term.
b. Restrictions. You may not, and may not permit any third party to:
Copy, modify, translate, or create derivative works of the Services, except as expressly permitted by documentation or applicable open source licenses
Reverse engineer, decompile, or disassemble the Services, or attempt to derive source code, models, protocols, or underlying structures, except to the extent this restriction is unenforceable under applicable law
Resell, sublicense, distribute, rent, lease, or provide the Services to third parties as a service bureau or on a time-sharing basis, except under a written OEM or reseller agreement with us
Remove, obscure, or alter any proprietary notices
Use the Services to build a competing product or service, or to benchmark or publish performance comparisons without our prior written consent
Circumvent or exceed usage limits, rate limits, quotas, or access controls, or use automated means to scrape or harvest the Services
Introduce malware, interfere with or disrupt the integrity or performance of the Services, or attempt to gain unauthorized access to any systems or accounts
Conduct penetration testing, load testing, or vulnerability scanning without our prior written authorization
Use the Services in violation of law, third-party rights, or Section 7 below
6. Your Content and Data
a. Your Content. "Your Content" means data, code, configurations, intent definitions, workflows, models, prompts, telemetry, and other materials you or your systems submit to or generate through the Services. As between you and RSYNQ, you retain all rights in Your Content.
b. License to us. You grant RSYNQ a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, transmit, and display Your Content solely as necessary to provide, secure, support, and improve the Services, and as otherwise permitted in these Terms or your Customer Agreement.
c. Your responsibilities. You represent that you have all rights necessary to submit Your Content and to grant the above license, and that Your Content and our permitted processing of it do not violate law or third-party rights. You are responsible for the accuracy, quality, legality, and backup of Your Content, and for obtaining any consents or notices required from individuals whose personal information it contains, including where devices you deploy capture audio, video, imagery, or biometric information.
d. Service data and aggregated data. We may collect and use operational, diagnostic, performance, and usage data generated by the Services. We may create aggregated and de-identified data from Your Content and use it to operate, secure, analyze, and improve the Services and our products. Aggregated and de-identified data will not identify you, your customers, or any individual, and we will not re-identify it. We own all rights in such aggregated and de-identified data.
e. Personal information. Our handling of personal information is described in our Privacy Policy. Where we process personal information on your behalf as a processor or service provider, [our Data Processing Addendum] governs that processing.
f. Feedback. If you provide suggestions, ideas, or feedback about the Services, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use and exploit it without restriction or obligation to you.
7. Safety, Operational Responsibility, and Prohibited Uses
This section is a material condition of your right to use the Services. Read it in full.
a. The Services are software, not a safety system. SIP translates intent into coordinated instructions for machines and devices. The Services are not a safety-rated control system, functional safety component, emergency stop system, safety programmable logic controller, protective device, or certified safety instrumented system, and they are not certified to any functional safety standard unless we state so in writing for a specific offering.
b. Your responsibility for safe deployment. You are solely responsible for the safe design, integration, commissioning, operation, supervision, and maintenance of any robot, machine, vehicle, industrial system, or connected device that interacts with the Services. Without limitation, you are responsible for:
Conducting and documenting a risk assessment for every deployment
Implementing independent, safety-rated protective measures that operate without reliance on the Services, including emergency stop circuits, guarding, interlocks, speed and force limiting, presence sensing, and fail-safe defaults
Ensuring that a failure, delay, degradation, disconnection, incorrect output, or unavailability of the Services results in a safe state
Complying with all applicable safety, machinery, electrical, vehicle, aviation, food safety, and workplace regulations and standards, including as applicable ISO 10218, ISO/TS 15066, ANSI/RIA R15.06, ISO 12100, IEC 61508, IEC 62443, the EU Machinery Regulation, and OSHA requirements
Training and supervising qualified operators, and maintaining human oversight appropriate to the risk of the deployment
Testing and validating each intent, workflow, and integration in a controlled environment before production use
Maintaining insurance appropriate to the risks of your deployment
c. High-risk uses. You may not use the Services in or in connection with:
Life support, life-sustaining, or implantable medical devices, or clinical decision-making affecting patient care
Nuclear facilities, nuclear materials handling, or nuclear command and control
Aircraft navigation, flight control, or air traffic control
Autonomous operation of on-road passenger vehicles
Weapons systems, munitions, targeting, or autonomous use of force
Any other application where failure could reasonably be expected to result in death, serious personal injury, severe property damage, or severe environmental harm
unless you have obtained our prior written consent under a separate agreement that expressly permits the use and allocates the associated risk.
d. Prohibited uses generally. You may not use the Services to:
Violate any law, regulation, or third-party right
Harm, harass, threaten, defraud, or surveil individuals unlawfully
Conduct biometric identification or tracking of individuals in violation of applicable biometric privacy law
Infringe intellectual property or misappropriate trade secrets
Transmit malware, conduct denial-of-service attacks, or engage in unauthorized access or intrusion
Circumvent export controls, sanctions, or other trade restrictions
Generate or distribute unlawful content
Operate devices you are not authorized to operate, or access systems you do not own or have permission to control
e. Suspension for safety or security. We may suspend or restrict access immediately and without prior notice where we reasonably believe continued access presents a risk of harm to persons, property, the Services, or third parties, or a violation of law. We will notify you as soon as reasonably practicable.
8. Outputs, Automation, and No Reliance
The Services generate plans, sequences, translations of intent, recommendations, and other outputs ("Outputs"), and may incorporate machine learning and automated reasoning. Outputs may be incorrect, incomplete, or unsuitable for a particular deployment, and identical inputs may produce different Outputs.
You are responsible for evaluating the suitability, accuracy, and safety of Outputs before acting on them, and for implementing verification appropriate to the consequences of error. RSYNQ makes no representation that Outputs will be accurate, complete, error-free, or fit for any particular purpose, and you may not rely on the Services as the sole safeguard against harm.
9. Intellectual Property
The Services, including all software, protocols, APIs, documentation, designs, interfaces, models, and the RSYNQ and SIP names and logos, are owned by RSYNQ or its licensors and are protected by intellectual property and other laws. Except for the limited license in Section 5, no rights are granted to you, whether by implication, estoppel, or otherwise. All rights not expressly granted are reserved.
You may not use our trademarks, logos, or brand features without our prior written permission, except as permitted by any brand guidelines we publish.
10. Third-Party and Open Source Components
The Services may include or interoperate with third-party software, open source components, hardware, and services. Open source components are licensed under their own terms, which control over these Terms with respect to those components; a list of such components and their licenses is available upon request.
Third-party products, integrations, and websites are not under our control. We make no representation about them, and your use of them is governed by your agreement with the relevant third party and is at your own risk.
11. Export Control, Sanctions, and Trade Compliance
The Services, including software and technical data, are subject to U.S. export control and sanctions laws, including the Export Administration Regulations and regulations administered by the Office of Foreign Assets Control, and may be subject to the export or import laws of other jurisdictions.
You represent and warrant that you are not:
Located in, organized under the laws of, or ordinarily resident in a country or territory subject to comprehensive U.S. sanctions
Identified on any U.S. government restricted-party list, including the SDN List, Entity List, Denied Persons List, or Unverified List, or owned 50% or more by any such party
Prohibited from receiving U.S.-origin goods, software, or technology
You will not export, re-export, transfer, or make the Services available in violation of these laws, and will not use the Services in connection with prohibited end uses, including nuclear, chemical, biological weapons, missile technology, or military intelligence end uses without required authorization.
12. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. RSYNQ AND ITS LICENSORS AND SUPPLIERS DISCLAIM ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, ACCURACY, AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
RSYNQ DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, THAT OUTPUTS WILL BE ACCURATE OR SUITABLE, OR THAT THE SERVICES WILL MEET YOUR REQUIREMENTS OR OPERATE WITH ANY PARTICULAR HARDWARE, DEVICE, OR SYSTEM.
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU. NOTHING IN THESE TERMS EXCLUDES OR LIMITS LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
a. NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, BUSINESS INTERRUPTION, PRODUCTION DOWNTIME, EQUIPMENT DAMAGE, OR COST OF SUBSTITUTE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY AND EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE.
b. RSYNQ'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF (I) THE AMOUNTS YOU PAID TO RSYNQ FOR THE SERVICES IN THE [TWELVE (12)] MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (II) [ONE HUNDRED U.S. DOLLARS ($100)].
c. THE LIMITATIONS IN THIS SECTION APPLY REGARDLESS OF THE THEORY OF LIABILITY, INCLUDING CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, AND WARRANTY, AND ARE AN ESSENTIAL BASIS OF THE BARGAIN BETWEEN THE PARTIES. THEY DO NOT APPLY TO LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW, INCLUDING LIABILITY FOR DEATH OR PERSONAL INJURY CAUSED BY NEGLIGENCE, FRAUD, OR FRAUDULENT MISREPRESENTATION.
d. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO PORTIONS OF THIS SECTION MAY NOT APPLY TO YOU.
14. Indemnification
You will defend, indemnify, and hold harmless RSYNQ, its affiliates, and their respective officers, directors, employees, and agents from and against any third-party claims, demands, actions, and proceedings, and all resulting losses, damages, liabilities, settlements, fines, penalties, and reasonable attorneys' fees, arising out of or relating to:
Your use of the Services, including any deployment, integration, or operation of machines or devices
Your Content, including any claim that it infringes or misappropriates third-party rights or was collected or used unlawfully
Your breach of these Terms, including Sections 7 and 11
Death, personal injury, or property damage arising from your deployment or operation of any machine, device, or system
Your violation of any law or third-party right
We will notify you of the claim, give you control of the defense (provided that no settlement imposing obligations on us may be entered without our written consent), and cooperate at your expense. We may participate with counsel of our choosing at our own expense.
15. Term, Suspension, and Termination
These Terms apply from your first use of the Services until terminated.
You may stop using the Services and close your account at any time. Termination does not entitle you to a refund of prepaid fees except as expressly stated in a Customer Agreement or required by law.
We may suspend or terminate your access, in whole or in part, with or without notice, if you breach these Terms, if your account is inactive for 12 months, if required by law, if continued provision presents a security or safety risk, or if we discontinue the Services. We will provide reasonable advance notice where practicable and where doing so does not increase risk.
Upon termination, your license ends, you must cease use of the Services, and we may delete Your Content after [30] days. You remain responsible for fees accrued before termination. Sections 5(b), 6(b), 6(d), 6(f), 7, 8, 9, 11, 12, 13, 14, 15, 16, 17, 18, and 19 survive termination.
16. Changes to the Services and to These Terms
We may modify, add to, or discontinue features of the Services. Where we discontinue a paid feature you are actively using in a way that materially reduces functionality, we will provide 30 days' notice and, where a Customer Agreement provides, a pro-rated refund.
We may update these Terms. We will post the revised Terms with an updated date and, for material changes, provide at least [30] days' notice by email or through the Services before they take effect. Continued use after the effective date constitutes acceptance. If you do not agree, you must stop using the Services and may terminate your account.
17. Governing Law and Venue
These Terms and any dispute arising out of or relating to them or the Services are governed by the laws of the State of California, excluding its conflict of laws rules and the United Nations Convention on Contracts for the International Sale of Goods.
Subject to Section 18, the state and federal courts located in Los Angeles County, California have exclusive jurisdiction over any dispute, and each party consents to personal jurisdiction and venue there and waives any objection based on inconvenient forum.
18. Dispute Resolution
a. Informal resolution. Before filing a claim, the parties will attempt to resolve the dispute informally by sending written notice describing the claim and proposed resolution to legal@rsynq.ai or to your account contact, and negotiating in good faith for 60 days.
b. Arbitration. If not resolved, any dispute arising out of or relating to these Terms or the Services will be finally settled by binding arbitration administered by JAMS under its [Comprehensive / Streamlined] Arbitration Rules, before one arbitrator, seated in Los Angeles County, California, conducted in English. Judgment on the award may be entered in any court of competent jurisdiction.
c. Exceptions. Either party may bring an action in court for injunctive or equitable relief to protect intellectual property or confidential information, and either party may bring an individual claim in small claims court.
d. Class action waiver. DISPUTES WILL BE RESOLVED ONLY ON AN INDIVIDUAL BASIS. NEITHER PARTY MAY BRING A CLAIM AS A PLAINTIFF OR CLASS MEMBER IN A CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION. THE ARBITRATOR MAY NOT CONSOLIDATE CLAIMS OR PRESIDE OVER ANY FORM OF REPRESENTATIVE PROCEEDING. If this waiver is found unenforceable as to a particular claim, that claim will be severed and heard in court.
e. Opt-out. You may opt out of this Section 18 by sending written notice to legal@rsynq.ai within 30 days of first accepting these Terms, stating your name, account email, and intent to opt out. Opting out does not affect the remainder of these Terms.
19. General
a. Entire agreement. These Terms, together with any Customer Agreement and incorporated documents, constitute the entire agreement between the parties regarding the Services and supersede all prior understandings. Any terms in your purchase order or vendor portal are void and of no effect.
b. Assignment. You may not assign these Terms without our prior written consent, except to a successor in a merger or sale of substantially all assets that is not a competitor of RSYNQ. We may assign freely. Any prohibited assignment is void.
c. No waiver. Our failure to enforce a provision is not a waiver of it.
d. Severability. If any provision is held unenforceable, it will be modified to the minimum extent necessary and the remaining provisions will remain in effect.
e. Force majeure. Neither party is liable for delay or failure to perform due to causes beyond its reasonable control, excluding payment obligations.
f. Independent contractors. The parties are independent contractors. These Terms create no partnership, joint venture, agency, or employment relationship.
g. No third-party beneficiaries. Except as expressly stated, these Terms create no third-party beneficiary rights.
h. Notices. We may give notice by email to the address on your account, by posting in the Services, or by posting on the Site. You must give notice to legal@rsynq.com with a copy to the address in Section 20. Notices are effective on receipt or, for email, on transmission absent a bounce.
i. U.S. Government end users. The Services are "commercial computer software" and "commercial computer software documentation" under FAR 12.212 and DFARS 227.7202. Government use is subject to these Terms.
j. Language. These Terms are written in English. Any translation is provided for convenience only, and the English version controls in the event of conflict.
k. Copyright complaints. If you believe material on the Site infringes your copyright, send a notice meeting the requirements of 17 U.S.C. § 512(c)(3) to our designated agent at:
The Content Agency, Inc., 3858 W. Carson Street, Suite 220, Torrance, CA 90503, legal@rsynq.ai.
We may terminate the accounts of repeat infringers.
